Your Indiana LLC starting checklist
From a business name to your first Business Entity Report: the steps to get an Indiana LLC organized.

01Choose your LLC name
Indiana requires a distinguishable name with an appropriate LLC designation. Search existing records through INBiz. A search is a preliminary check; the state decides whether the name can be used when you file.
02Choose a registered agent
An Indiana business entity must continuously maintain an eligible registered agent and registered office in Indiana. The office needs a physical street address. The business itself cannot be its own agent, although an eligible individual associated with it may serve.
03File the Articles of Organization
Submit the filing through INBiz or use a filing service. Our checkout separates the $149 service fee and $95 state filing allocation. Any standard state payment surcharge is absorbed in our service fee. Wait for state approval before representing the entity as formed.
04Set down how the LLC works
An operating agreement records ownership, management, distributions, and other internal arrangements. Indiana recommends one even though it is not filed with the state. A template is a starting point; get legal help for complex ownership or special terms.
05Arrange tax IDs and registrations
The IRS issues EINs for free to eligible applicants. A tax ID is separate from forming your LLC. Consider federal and Indiana taxes, employer obligations, sales tax registration, and local permits based on the business activity.
06Put the next report on your calendar
Indiana LLCs generally file a Business Entity Report every two years. Check the official entity record for the exact deadline. Keep the registered agent, principal office, and contact information current.
